End User License Agreement (EULA)

Effective Date: July 27th, 2025

This End User License Agreement (“Agreement”) is a legal agreement between you (“User” or “You”) and Zyntx Lab, LLC, doing business as Circles of Care (“Licensor”, “we”, “us”, or “our”), governing your use of the Circles of Care mobile application, associated software, content, and services (collectively, the “App”).

By downloading, installing, or using the App, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the App.

1. License Grant

Zyntx Lab, LLC hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App solely for your personal, non-commercial use on a compatible device that you own or control, and strictly in accordance with this Agreement.

2. Ownership and Intellectual Property

The App, including all content, software, and associated intellectual property rights, is owned by Zyntx Lab, LLC and is protected by copyright and other laws. This Agreement does not grant you any ownership interest in the App. All rights not expressly granted are reserved by Zyntx Lab, LLC.

3. Restrictions

You agree not to:

• Copy, modify, adapt, translate, or create derivative works based on the App;

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App;

• Rent, lease, sell, sublicense, distribute, or otherwise transfer the App to any third party;

• Use the App for any commercial purpose or in any way that violates any applicable law or regulation;

• Circumvent, disable, or otherwise interfere with any security or license enforcement features of the App.

4. User Content

If the App allows you to submit or store data or content (“User Content”), you retain ownership of such content. However, you grant Zyntx Lab, LLC a limited license to use, store, and process such content as necessary to provide the functionality of the App. You are solely responsible for your User Content and compliance with all applicable laws.

5. Updates and Modifications

Zyntx Lab, LLC may, from time to time, issue updates or upgrades to the App. Such updates may be automatically installed without providing additional notice. This Agreement will govern any such updates unless accompanied by a separate license agreement.

6. Termination

This Agreement is effective until terminated. It may be terminated by you at any time by uninstalling and discontinuing use of the App. Zyntx Lab, LLC may terminate this Agreement and your license to use the App at any time if you breach any of its terms. Upon termination, you must immediately cease all use of the App and delete all copies from your devices.

7. Disclaimer of Warranties

The App is provided “as is” and “as available” without warranty of any kind, express or implied. To the fullest extent permitted by law, Zyntx Lab, LLC disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Zyntx Lab, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or revenues, arising out of or in connection with your use or inability to use the App.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Santa Cruz County, California.

10. Entire Agreement

This Agreement constitutes the entire agreement between you and Zyntx Lab, LLC with respect to the App and supersedes all prior or contemporaneous understandings. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
